EarnPark has a filing on the public record of the US Securities and Exchange Commission. What a Form D is, and what it is not
Regulation D lets a company raise money in the United States without registering the offering, provided it stays inside the conditions of an exemption. Rule 506(c) is one of those exemptions. A company using it files a short notice, Form D, telling the regulator that the offering exists, who is behind it and how large it is. The information in that notice is supplied by the filer.
This is the part most write-ups get wrong, so it is worth being blunt. A Form D notice is not registration as a broker, an exchange or an investment adviser. It is not a licence. It is not supervision, approval or endorsement by the SEC, and the SEC does not review the platform, the strategies or the yields on the strength of it. Anyone who reads a CIK number as a US regulatory stamp has misread the document. EarnPark does not describe itself as registered or regulated by the SEC, and this page exists partly to keep that line clear.
What the record does prove
Three things, and they are not nothing. First, a legal entity called Earnpark Platform LLP exists and chose to identify itself by name to a US financial regulator. Second, it did so on a fixed date, 10 February 2023, with the filing amount and the exemption it claimed attached to that date. Third, the record sits on infrastructure EarnPark does not control. EDGAR is public, searchable, machine-readable through the SEC's own data endpoints, and nothing about the entry can be quietly edited or withdrawn by the company later.
The filer details are also checkable against the rest of the paper trail. The name and London address on the EDGAR filer page are the same ones published in the site footer and in the legal documents, which is a small consistency test that a great many crypto yield platforms would fail. That is the honest value of this signal. It anchors identity, not conduct.
Where this signal stops
The filing concerns one offering from 2023. It says nothing about how client assets are custodied today, nothing about how the trading strategies behind the yield perform, and nothing about whether a given rate will hold. Those questions are answered by other evidence, and by the risk statement rather than by a regulator.
We list the filing here because a verifiable public record deserves to be findable, and because the number is already quoted elsewhere without the caveats. Read it as one line in a longer identity trail, next to the UK LLP registration, the BVI operating company and the published legal documents. If a platform ever shows you a CIK number and implies more than that, treat the implication as the warning sign.
